These Terms of Service ("Terms") are a binding agreement between you and Trench Coat Owls LLC ("Trench Coat Owls," "we," "us," or "our") governing your access to and use of Koa, our AI companion web application, and related services (collectively, the "Service").
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Koa is an AI companion application that turns your personal goals into quests, breaks them into missions, tracks your progress, and provides narrative and companion interactions (such as Wren). Koa is intended for personal productivity and motivation. It is not a substitute for professional, medical, financial, legal, or mental-health advice.
You must be at least 13 years old (or the minimum age required in your jurisdiction) to use Koa. If you are under 18, you may use the Service only with the consent of a parent or legal guardian.
You are responsible for the accuracy of your account information, for keeping your password confidential, and for all activity under your account. Notify us promptly at support@trenchcoatowls.com of any unauthorized use.
a. Paid service. Koa is offered on a paid subscription basis. Current pricing and plan features are presented at sign-up and may change with notice.
b. Payment processor. Payments are processed by Stripe, Inc. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees. Your use of Stripe is subject to Stripe's terms and privacy policy.
c. Automatic renewal. Subscriptions renew automatically at the end of each billing cycle (monthly or annually, as selected) at the then-current price, unless you cancel before the renewal date.
d. Cancellation. You may cancel at any time through your account settings. Cancellation stops future charges; you retain access until the end of the current paid period.
e. Refunds. Except where required by law, fees are non-refundable and there are no refunds or credits for partial billing periods or unused time.
f. Taxes and changes. Prices exclude taxes, which you are responsible for. We may change fees on a going-forward basis with reasonable advance notice.

You retain ownership of the goals, quests, tasks, notes, and other content you submit ("User Content"). You grant Trench Coat Owls a worldwide, non-exclusive, royalty-free license to host, store, process, display, and use your User Content solely to operate, provide, secure, and improve the Service, including sending it to third-party AI providers to generate companion responses and other output.
You are responsible for your User Content and represent that you have the rights necessary to submit it.
Koa uses artificial intelligence to generate companion dialogue, quest breakdowns, narrative, images, and animations. AI output may be inaccurate, incomplete, or unexpected, and is provided for motivation and entertainment. You are solely responsible for evaluating and relying on any AI-generated content. We make no warranty that AI output is accurate, appropriate, or fit for any particular purpose.
The Service, including its software, design, characters (such as Wren), text, graphics, and branding, is owned by Trench Coat Owls or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use in accordance with these Terms. All rights not expressly granted are reserved.
The Service relies on and links to third-party services (such as Stripe, cloud hosting, and AI and media-generation providers). We are not responsible for the content, policies, or practices of third parties. Your use of those services is governed by their own terms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY RESULTS OR OUTPUT WILL BE ACCURATE OR RELIABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRENCH COAT OWLS AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify and hold harmless Trench Coat Owls and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service, or your violation of these Terms or applicable law.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or if we discontinue the Service. Upon termination, the provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in California, and you consent to their jurisdiction, except where applicable law provides otherwise.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, for material changes, provide notice through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
